· The Property may be sold at public "Online Only - Internet Auction" ending on Wednesday, June 14, 2017 at 2:00pm CDT (3 minute soft close). All proposals submitted during the Auction shall remain open for 24 hours after the close of the Auction in order for Seller to determine and accept the winning proposal, should they so desire, and for Seller and the winning proposer to sign the Sale and Purchase Agreement.
· The Property may be offered in 3 parcels:
o Tract 1: House, barns on 24 +/- Acres
o Tract 2: 13 +/- Acres (pasture, tillable, hay or home site)
o Tract 3: 11 +/- Acres (pasture, tillable, hay or home site)
· Survey: The Seller shall provide a survey where there is no existing legal description or where the tract divisions in this Auction create new boundaries. Seller and successful proposer shall each pay half (50:50) of the cost of any new survey. The survey performed shall be a boundary survey.
· All proposers must sign a proposer's certification representing and warranting that such proposer has readily available funds to complete the purchase of the parcel(s) and satisfy all monetary obligations hereunder.
· The Property will be sold subject to Seller's confirmation. The Seller reserves the right to reject any and all proposals and irregularities in the Auction.
· The Seller reserves the right to enter the Property / transaction into a 1031 exchange
· Property sells AS-IS, WHERE IS and SUBJECT TO ALL FAULTS with no warranties expressed or implied
· Property included in the sale is the real estate and improvements, if any.
· The Auction is subject to prior sale, meaning that the Property can be purchased prior to the end of the Auction
· The Seller reserves the right to cancel the Auction at any time prior to the end of the Auction
· The proposer(s) of the winning proposal(s) at Auction shall each be a Buyer of all or such portion of the Property as delineated in such winning proposal and shall immediately, and in no event later than twenty-four (24) hours after the close of the Auction, after being declared a successful proposer by the Auctioneer, execute the Sale and Purchase Agreement and deliver such Agreement to Seller. · Buyer's Premium: an 11% Buyer's Premium will be added to the amount of such Buyer's winning proposal and charged to the Buyer. The amount of the winning proposal shall be the Purchase Price of the Property. The Purchase Price, plus the Buyer's Premium, plus or minus prorations, shall be due at Closing.
· A 10% down payment must be paid by the Buyer by direct wire transfer within 24 hours after the execution of the Sale and Purchase Agreement payable to Chicago Title Insurance Company, pursuant to a joint order escrow. The down payment deposit will be non-refundable. The proposals are not conditional upon financing. Proposers should be prepared to pay cash at Closing or have arranged financing prior to the Auction. The balance of the Purchase Price including the Buyer's Premium will be due via a wire transfer to the closing company, on delivery of insurable title on or before June 30, 2017.
· Closing is NOT contingent upon financing.
· The Property will be conveyed by a Special Warranty Deed
· The Seller agrees to furnish Buyer(s) with an Owner's Policy of title insurance at Closing.
· Real Estate Taxes: the taxes will be prorated to the day of closing based upon the last ascertainable bill. Closing of separate tracts will be subject to a tract division and the parties shall cooperate to complete the division.
